Terms of Use

Deloitte Hackazon (“Hackazon”) is facilitated and offered by Deloitte Consultative Services B.V., registered at the Dutch Chamber of Commerce under no. 33259541 (hereinafter: “Deloitte” or “we”).

Applicability

These terms of use (“Terms of Use”) govern Your access to and use of Hackazon, which is an online platform for gamified learning. Hackazon allows users to constantly refresh and improve their technical cyber skills based on the latest developments in cyber security. Hackazon provides users with hands-on exercises and online courses which can be utilised in the form of classroom training, self-paced learning, an online skill assessment or a competition. Hackazon provides users with a secure, controlled environment in which to participate in cybersecurity challenges. These challenges are designed to improve user's skills and awareness in the field of cybersecurity.

By using Hackazon, You agree to the Terms of Use. In case of disagreement with the Terms of Use, You must not use Hackazon.

These Terms of Use may be revised or updated from time to time. You are advised to consult the Terms of Use on https://academy.hackazon.org/policies/terms (the “Website”) before using Hackazon.

Definitions

“Your Data” means (i) data and information provided, uploaded and/or shared by You, or by Deloitte on Your behalf, for the purpose of using Hackazon, or (ii) data that You collect, process and extract through Your use of Hackazon.

"Deloitte Entity" means Deloitte Touche Tohmatsu Limited (“DTTL”) and any other entity (including Deloitte NSE LLP) that is a member of the DTTL network and each of their subsidiaries and Affiliates, successors, assignees, and all partners, principals, members, owners, directors, employees, subcontractors and agents of any such entity.

“Intellectual Property Rights” means all current and future legal and/or equitable interests and rights in all intellectual property and other proprietary rights of any kind whether registered or unregistered and existing now or in the future including but not limited to trade marks, service marks, inventions, patents, design rights, copyrights, database rights, trade secrets, and the goodwill attaching to any of them and applications for any of them and any renewals and extensions thereof and any right or form of protection of equivalent or similar nature or effect to any of them which may subsist anywhere in the world.

“You” or “Your” means and refers to you, the user of Hackazon.

“Hackazon Primary Contact” means your contact person regarding the use of and access to Hackazon.

Hackazon Business Licensee means a third party that acquired multiple licenses with the right to give a group of users access to Hackazon.

Access
-
You can register on the Website in order to get access to Hackazon. If You are 16 years or younger You need to have consent from Your parent or guardian prior to accessing Hackazon.

You are responsible for protecting Your username and password (“User Account”). Your User Account is individual and non-transferable. You will use all reasonable efforts to prevent unauthorized access to, or use of, Hackazon. In the event of any (suspected) unauthorized access or if Your User Account is lost, forgotten or has been modified or stolen, please contact Your Hackazon Primary Contact or send an email to hackazon@deloitte.com immediately.

You can access and manage Your User Account via an online interface (“Portal”). Features of the Portal include, but are not limited to, user authentication (login/logout), user profile management, overview and access to available challenges, overview of course data, tracking of progress and achievements, and other associated account management functionalities. The Portal serves as the central hub from which You can navigate to individualized and secure virtual environments which You have access to (“Challenge Environment”).

In the Challenge Environment You are able to participate in available challenges. Each Challenge Environment has a task for You to solve and may have vulnerabilities which have been intentionally created for You to discover and exploit as part of the training and learning process. It is prohibited to cheat, in its broadest sense, when solving a challenge in the Challenge Environment or to collaborate with other participants not being part of Your team.

The Challenge Environment is part of Hackazon, and functions separately from the Portal. This means that the Challenge Environment is designed for specific user interactions and activities related to (cybersecurity) training and solving challenges. Meanwhile, the Portal serves a distinct role in managing Your User Account, accessing the various challenges and courses and tracking your progress.

It is not allowed to use any actions, techniques, or skills ("Skills") as developed and/or applied within the Challenge Environment on the Portal or any other non-designated areas, such as other websites or applications which are not in scope of the Challenge Environment or for which the User didn't receive explicit prior permission to apply their Skills to.

You are only permitted to attempt to penetrate or otherwise find vulnerabilities within the Challenge Environment. Any attempt to penetrate or otherwise find vulnerabilities outside the Challenge Environment, such as the Portal, Hackazon's core infrastructure or any other non-designated environment, is strictly prohibited. Any attempt to interfere with, damage, or access any website or online environment other than the Challenge Environment in an unauthorized manner, such as using viruses, trojans and similar malware, will be considered a breach of these Terms of Use. Any activity that infringes the rights of other users, including but not limited to, attempting to penetrate their User Accounts, access their data, or disrupt their use of Hackazon, is strictly prohibited.

You must abstain from any unlawful, inappropriate and abusive use of the acquired Skills at all times and always act ethically in accordance with the applicable legislation. You are solely responsible for Your own actions in- and outside of Hackazon. You are liable for any expenses or damages that may incur through the inappropriate use of Hackazon or non-compliance with these Terms of Use.

Right to use

Subject to these Terms of Use, Deloitte grants You a limited, non-exclusive, non-transferable and revocable right to access and use Hackazon solely for the purpose for which You have been granted access, such as training or business purposes.

You shall ensure compliance with these Terms of Use and shall remain responsible for such compliance.

You may only download, store and modify the content on Hackazon on your personal devices for individual learning. Further distribution or use for another purpose requires Deloitte's prior written consent.

You shall not, without the prior written consent of Deloitte, (i) sell, transfer, lease or sublicense the right to access and use Hackazon, (ii) make Hackazon available to any third party, (iii) act as a service provider with respect to Hackazon or use Hackazon to process data for third parties. In addition, You shall not (i) use Hackazon to send or store harmful, infringing or unlawful material, (ii) use false identities, (iii) interfere with or disrupt the integrity or performance of Hackazon (including data contained therein), (v) copy, modify, reengineer or decompile the source code of (any part of) Hackazon (iv) attempt to gain or permit unauthorized access to Hackazon or related systems or networks, (v) remove or evade any technical measures taken by Deloitte to protect Hackazon or with a view to agreed restrictions in the duration of the right to use Hackazon, or (vi) use Hackazon or the output thereof in any way that (1) is fraudulent or misleading, or violates applicable law, rule or regulation, including the export, re-export, access or use of Hackazon, either directly or indirectly, in violation of applicable export controls laws and regulations, (2) is not authorized by these Terms of Use.

Deloitte reserves the right to review Your and, if applicable, the Hackazon Business Licensee's, use of Hackazon to confirm compliance to the Terms of Use. Deloitte may (temporarily) withdraw Your right to access Hackazon if Deloitte is of the reasonable opinion that You, or the Hackazon Business Licensee connected to You, breaches the obligations under this Section or any other obligation under these Terms of Use. We shall inform the Hackazon Business Licensee and/or You without undue delay of any such withdrawal. In the event of a withdrawal as described above for which the cause is reasonably capable of being remedied, Deloitte will inform the Hackazon Business Licensee and/or You of what actions must be taken in order to reinstate access to Hackazon. If You or the Hackazon Business Licensee fails to take such actions within a reasonable time, Deloitte may immediately terminate access to Hackazon upon written notice.

In any case of expiration or termination of these Terms of Use (i) access rights to Hackazon granted to You under these Terms of Use shall terminate and (ii) all use of Hackazon by You shall cease.

Your Data

You shall be solely responsible for (a) providing all data or information required for the use of Hackazon and the accuracy, lawfulness and completeness thereof; (b) maintaining in effect at all times during the use of Hackazon all rights required for use of Your Data; (c) obtaining and providing Your Data in accordance with applicable laws and (d) agreeing that Your Data may be used in connection with Hackazon, including modifications and enhancements thereto.

The Intellectual Property Rights in all Your Data shall remain vested in You.

You hereby grant to Deloitte, and to the extent necessary, to other Deloitte Entities and/or, if applicable, the Hackazon Business Licensee connected to Your User Account, during the term You have access to Hackazon, a royalty-free, non-exclusive and limited license to use Your Data.

Deloitte shall be entitled to provide its subcontractors access to Your Data solely to the extent necessary for the subcontractors to provide the relevant services.

You warrant that Your Data, provided by You to Deloitte in relation to Hackazon, with the exception of Challenge Environment, shall be free of viruses, trojans and similar malware.

Deloitte may remove (parts of) Your Data that is reasonably considered to be in breach of these Terms of Use.

You shall ensure that Your Data does not infringe any third-party rights. You shall indemnify Deloitte against any action based on a third party claim in relation to Your Data.

Deloitte may collect anonymised data derived from Your use of Hackazon in order to improve the service.

During the term You have access to Hackazon, You are entitled to extract and retrieve Your Data through the standard available functionality at any time.

After your access to Hackazon has expired, Deloitte will anonymize all Your Data, unless applicable law requires retention for a specific period. Any such retained data is subject to the confidentiality provisions of these Terms of Use.

Write ups

You are not allowed to share or write-up solutions (“Write-ups”) to challenges, courses, exams and assessments of Hackazon, unless Deloitte has given You prior written permission.

Write-ups approved by Deloitte will be listed and regularly updates on https://academy.hackazon.org/policies/write-ups.

Intellectual Property Rights

Deloitte and/or its subcontractors or licensors will own and retain ownership of all Intellectual Property Rights of any kind in Hackazon (including, without limitation, any new features, analyses, customizations, add-ons, functionality, updates, modifications, enhancements, connections to additional source systems, derivative works etc.), except those owned and retained by You pursuant to Section 5.1 (Your Data).

Nothing contained herein should be construed as granting, by implication or otherwise, any license or right to use any Intellectual Property in or related to Hackazon without the prior written consent of Deloitte.

Should any Intellectual Property Rights in relation to Hackazon be vested in You, except those owned and retained by You pursuant to Section 5.1 (Your Data), You hereby assign such Intellectual Property Rights to Deloitte. Should any further act be necessary for said assignment, You shall assist Deloitte to execute any applications, transfer documents and/or assignments reasonable necessary to achieve the transfer and or to obtain any Intellectual Property Rights in Deloitte's name.

You shall not remove or modify any designation concerning the confidential nature or Intellectual Property Rights in or related to Hackazon. You shall not be allowed to remove or evade any technical measures taken by Deloitte to protect Hackazon or with a view to agreed restrictions in the duration of the right to use Hackazon.

Hackazon's source code and the technical documentation generated in developing Hackazon shall not be made available to You. You acknowledge that the source code is confidential in nature and that it includes Deloitte's and/or other third party's trade secrets.

Subject to Sections 7.6, 7.7 and 7.8, Deloitte shall indemnify You against any third-party claim brought against You based on the claim that (Your use of) Hackazon in accordance with these Terms of Use infringes any Intellectual Property Right of any third party registered in Europe, on the condition that You immediately inform Deloitte in writing about the existence and substance of the claim, give Deloitte all reasonable assistance with such claim (at Deloitte's reasonable cost) and let Deloitte handle the matter completely, including with respect to agreeing to any settlement.

Deloitte may, at its own expense, modify or replace all or part of the infringing elements of Hackazon so as to avoid infringement or claims of infringement, or, if Deloitte, in our sole discretion, determines that no modification or replacement is appropriate, then Deloitte may terminate Your right to access Hackazon. Deloitte shall never make its choice to terminate in this regard until after You have been consulted.

Deloitte shall not indemnify You in accordance with section 7.5 if:

You prejudice the defence of any such claim;

such infringement is caused by or relates to Your Data;

such infringement is caused by or contributed to acts or omissions from You, which shall include changes You have made to Hackazon (other than the use of Hackazon in accordance with these Terms of Use); or
-
Your refusal to use any modification or replacement supplied or offered pursuant to Section 7.6.

This Section 7 states Deloitte's entire liability for infringement or alleged infringement of any third party rights of any kind whatsoever by the provision and use of Hackazon.

No client relationship

You may be accessing Hackazon at a point in time where Deloitte has not been contracted to execute any services related to You or the company which You represent. The use of Hackazon or any correspondence with Deloitte relating to Hackazon will not constitute a client relationship between You and Deloitte or the company which You represent. Deloitte only enters into a client relationship when a written agreement or engagement letter between Deloitte and its client has been signed mutually to that effect.

Deloitte is governed by differing independence, objectivity and other ethical standards and therefore is unable to provide certain services to prospective clients. The inclusion of illustrative examples and other content on Hackazon are not indicative of any services provided by Deloitte, nor should they be considered an offer to provide services.

Training services

Trainings or instructions on Hackazon are conducted by Deloitte based on reasonable efforts and shall be subject to You providing timely and correct information about Your qualifications, education and experience.

Any communication by Deloitte in relation to a training or instruction programme must be regarded as academic and for educational purposes only and may not be interpreted or relied upon as professional advice in relation to Your behaviour under specific circumstances.

Deloitte does not hold the content on Hackazon to be complete. Before making decisions You should consult with an appropriate expert. Examples and other materials on Hackazon are solely for illustrative purposes and should not be relied upon for technical answers or as the Deloitte opinion on technical issues.

Confidential information

You shall keep confidential and shall not disclose the technology used in or as part of Hackazon and any other of Deloitte's confidential trade secrets and proprietary information (the “Deloitte Confidential Information”) other than as permitted by these Terms of Use. You shall only use Hackazon for the purpose for which Deloitte has given you access to Hackazon. Any copyright or other legal notice on any Deloitte Confidential Information or on any other material posted on Hackazon shall not be removed or altered in any way.

Although Deloitte, considering the confidential nature of the information to be provided by You hereunder, has implemented commercially reasonable measures designed to protect Hackazon and the data and information collected and stored thereunder from unauthorised access, Deloitte cannot guarantee that such unauthorised access will not occur. Therefore, to the extent permitted by applicable law and legislation, Deloitte accepts no liability for any breach of the data and security of Hackazon for any reason whatsoever. You understand and accept that the disclosure of such data or information may be required by law.

Limitation of liability

Hackazon is provided to you on an “as is” and “as available” basis. Deloitte expressly disclaims all express or implied warranties and representations including (without limitation) of merchantability, quality, title, fitness for purpose, non-infringement, compatibility, security and accuracy of Hackazon. Deloitte cannot warrant the accuracy nor the completeness of the information provided via Hackazon, that the use of Hackazon will be uninterrupted or error-free, nor that Hackazon has been developed to meet any users' individual requirements or intended results.

Neither Deloitte nor any other Deloitte Entity accepts any duty of care, responsibility or liability of whatsoever nature, in contract, tort, or otherwise, for any damages, whether direct, indirect, or consequential, in relation to Your use of and/or reliance on Hackazon. While Deloitte takes reasonable steps to maintain the continuity of Hackazon, Deloitte accepts no liability for any failure to connect to it, its suspension, interruption, unavailability, for any loss of data or fault occurring, or any consequences thereof.

In addition, no Deloitte Entity (including without limitation, any member firms of Deloitte Touche Tohmatsu Limited), or such entity's personnel, shall have any liability hereunder to You in connection with Hackazon. Without limiting the foregoing, such affiliated and related entities are intended third party beneficiaries of these terms and may in their own right enforce such terms.
- In providing you with access to Hackazon, Deloitte may use and rely upon certain software, tools and technology of third parties. Deloitte may license such software, tools or technology from third parties, and those third party suppliers and licensors disclaim, to the extent permitted by applicable law, all warranties and any liability for any damages, whether direct, indirect, or consequential, arising from your use of Hackazon.

Nothing in these Terms of Use excludes or limit Deloitte's liability for wilful misconduct (“opzet”) or gross negligence (‘bewuste roekeloosheid”) or any other liability that cannot lawfully be excluded or limited.

Changes or interruptions to Hackazon

Technical malfunctions or maintenance may temporarily render Hackazon inaccessible. You acknowledge that access to Hackazon may be suspended, limited, denied or disabled at any time (for example, to update software for Hackazon) and that information, which may include Your Data, uploaded to it may not be recoverable. Deloitte is entitled to disable Your access to Hackazon upon a period of inactivity of at least 1 year. Deloitte will re-enable Your User Account access upon receipt of Your written request. Statistical data will be stored for as long as deemed necessary for us to use for benchmarking purposes.

You are advised to use appropriate anti-virus software. Deloitte does not guarantee that Hackazon or any of its content will be free from viruses, and Deloitte is not responsible or liable for any damage caused by viruses.

Deloitte shall have no obligation under the Terms of Use to provide updates, modifications or enhancements to Hackazon, or to provide maintenance, support or other services with respect to Hackazon.

Subcontractors
- Deloitte remains responsible to You for all of the services related to Hackazon under these Terms of Use, including services performed by any Deloitte Entity or subcontractor. Deloitte has subcontracted or makes use of third parties (such as Microsoft for the MS-Azure platform) for the provision of Hackazon. You agree that Deloitte is entitled to subcontract or make use of any part of the services under these Terms of Use to any other Deloitte Entities or third parties without Your prior approval. To the fullest extent possible under applicable law, You agree not to bring any claim (whether in contract, tort, breach of statutory duty or otherwise) against any Deloitte Entity or any subcontractor, other than Deloitte, in connection with Hackazon.

Third party licenses
- By accessing Hackazon, You will gain access not only to Deloitte's technology but also to software or data that is in whole or in part subject to third party or open source software licenses. You and Deloitte shall each comply with its respective obligations under such licenses and shall do nothing that puts the other party in breach of its obligations under such licenses. Nothing in these Terms of Use will prevent Deloitte from any behaviour it deems necessary to comply with applicable third party or open source licenses.

Data Protection
- Deloitte shall process personal data in accordance with Hackazon's Privacy Statement: https://academy.hackazon.org/policies/privacy.

Termination
- If Deloitte considers in its reasonable opinion that it is no longer desirable or commercially viable to continue to provide Hackazon or if any third party software or service becomes unavailable to us, Deloitte shall be entitled to modify Hackazon as necessary to accommodate such changes or unavailability or to terminate providing any access to Hackazon (without incurring any liability). Deloitte may also terminate the Terms of Use and deactivate or delete your account if you breach any of these Terms of Use.

Final

The use of Hackazon, as well as these Terms of Use, are governed by the laws of The Netherlands. Any disputes or claims between You and Deloitte will be submitted exclusively to the competent court in Rotterdam, The Netherlands.

These Terms of Use constitute the entire agreement of the parties with respect to Your use of Hackazon and supersedes all prior or contemporaneous agreements, understanding and discussions.

You may not assign this agreement without our written permission. Deloitte may assign this agreement at our sole discretion.

If any of these Terms of Use are found to be unenforceable, the remainder shall continue to apply.
